These Terms of Service ("Terms") govern your relationship with Solenne Consulting. By engaging our services, you agree to these terms. We believe in transparent, honest partnerships built on mutual trust and clear expectations.
1 Service Overview
1.1 Information You Provide
Solenne Consulting provides professional business consulting and strategic advisory services. Our engagement with you may include, but is not limited to:
Strategic planning and business development consulting
Operational efficiency assessments and implementation
Market analysis and competitive intelligence
Executive coaching and organizational development
Each engagement is customized to your specific needs through a formal Statement of Work (SOW) that outlines deliverables, timelines, and investment.
2 Engagement Terms
2.1 Scope of Work
All consulting services are provided under a mutually agreed Statement of Work. The SOW will define project objectives, deliverables, timelines, fees, and payment terms. Any changes to the SOW must be documented in writing and signed by both parties.
2.2 Payment Terms
Standard payment terms are net 30 days from invoice date. We accept the following payment methods:
Bank transfer (ACH/Wire)
Corporate credit card
Check (for select clients)
Late payments may be subject to a 1.5% monthly interest charge or the maximum rate permitted by law, whichever is less.
2.3 Cancellation & Refunds
Either party may terminate an engagement with 30 days written notice. You will be responsible for payment of all services rendered through the termination date. Deposits and retainers for ongoing work are non-refundable but will be applied to final invoicing.
3 Client & Consultant Responsibilities
1.1 Your Responsibilities
Provide timely access to personnel, data, and resources
Ensure accuracy of information shared
Maintain confidentiality of our methodologies
Provide feedback and approvals within agreed timelines
1.2 Our Responsibilities
Deliver services with professional expertise
Meet agreed-upon timelines and deliverables
Maintain strict confidentiality of your data
Provide transparent communication throughout
3.3 Intellectual Property
Upon full payment, you receive a non-exclusive license to use deliverables created specifically for your engagement. We retain ownership of our methodologies, frameworks, and pre-existing materials. Any insights or case studies derived from our work together will be anonymized before use in our marketing materials, unless otherwise agreed.
4 Confidentiality & Data Protection
We take your privacy seriously. All information shared during our engagement is treated as confidential and will not be disclosed to third parties without your explicit consent, except as required by law.

5 Limitations & Modifications
5.1 Limitation of Liability
Our liability is limited to the fees paid for the specific engagement giving rise to the claim. We provide strategic advice and recommendations; implementation decisions and results remain your responsibility. Our services do not constitute legal, accounting, or financial advice.
5.2 Modifications to Terms
We may update these Terms periodically. Significant changes will be communicated via email at least 30 days before they take effect. Continued engagement with our services after the effective date constitutes acceptance of the updated Terms.
5.3 Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.
